Terms of Service

These terms govern the use of the CliniKite clinic management platform and the website at https://clinikite.in, provided by HexaRadius Technologies (OPC) Private Limited(“HexaRadius”, “we”, “us”). By purchasing the licence or using the service, you agree to these terms.
Parties and definitions
These Terms of Service (“Terms”) form an agreement between HexaRadius Technologies (OPC) Private Limited (“HexaRadius”), a private limited company incorporated in India under CIN U62020TN2025OPC186873, and the clinic or medical practitioner that purchases a CliniKite licence or uses the service (the “Customer”).
“CliniKite” refers to the clinic management software platform developed and supplied by HexaRadius. “Licence” refers to the one-time software licence described in section 2. “Add-on” refers to the optional platform services described in section 3. “Customer Data” refers to the patient records and clinical information stored on the Customer’s CliniKite installation.
Licence to use CliniKite
On payment of the applicable one-time licence fee, HexaRadius grants the Customer a non-exclusive, non-transferable licence to install, run, and use the CliniKite software for the internal clinical and administrative operations of the Customer’s practice, in accordance with the plan selected (Solo, Small Clinic, or Clinic Group).
The licence covers the complete CliniKite product as made available at the time of purchase, including the first twelve months of software updates and support. After that period, the Customer may continue to operate the installed version of CliniKite indefinitely, or subscribe to the Extended Updates and Support add-on for continued maintenance.
The Customer may not resell, sublicense, or transfer the licence to a third party without the prior written consent of HexaRadius. The licence is tied to a specific clinic practice; moving the licence to a different practice requires notifying HexaRadius.
Add-on subscriptions
In addition to the one-time licence, HexaRadius offers optional add-on services that extend specific workflows of CliniKite. These include the AI Assistant, the two-way WhatsApp bot, and the Extended Updates and Support subscription, along with other add-ons introduced from time to time.
Add-ons are billed on a monthly or annual basis, as specified for the particular add-on at the time of subscription. Add-on subscriptions may be cancelled at the end of any billing period. Fees already paid for a completed billing period are non-refundable, except where required by law.
Infrastructure and deployment
CliniKite is available in three deployment options: on-premise at the Customer’s clinic, a managed cloud instance operated by HexaRadius on the Customer’s behalf, or a cloud deployment in an AWS account registered in the Customer’s name.
Infrastructure costs (hardware, AWS charges, and any pass-through fees) are separate from the licence fee and add-on fees. Where HexaRadius arranges infrastructure on the Customer’s behalf, such costs are invoiced at cost without markup unless otherwise agreed in writing.
Customer data ownership
The Customer retains full ownership of all Customer Data, including patient records, prescriptions, invoices, and all other clinical and operational information stored in the Customer’s CliniKite installation.
HexaRadius does not claim any rights over Customer Data. The CliniKite software is designed so that HexaRadius has no administrative access to the Customer’s database, and Customer Data is not replicated, mined, or otherwise used by HexaRadius for any purpose. Details of this architecture are set out in our Privacy Policy.
On request, HexaRadius will provide documented procedures to export Customer Data from a CliniKite installation in an open, documented format.
Customer obligations
The Customer agrees to:
- Maintain secure custody of the CliniKite installation and all associated credentials.
- Comply with all applicable laws relating to medical practice, patient data, tax, and telecommunications, including the Digital Personal Data Protection Act 2023 and the Information Technology Act 2000.
- Obtain all necessary patient consents before initiating WhatsApp or other electronic communication through CliniKite.
- Keep the CliniKite installation updated as advised during the support period, to ensure security and regulatory compliance.
Acceptable use
The Customer will not, and will not permit any user to:
- Reverse-engineer, decompile, or attempt to derive the source code of CliniKite, except to the extent permitted by applicable law.
- Use CliniKite to infringe the intellectual property, privacy, or other rights of any third party.
- Use CliniKite to send unsolicited marketing messages or any communication that violates the policies of the WhatsApp Business Platform.
- Use CliniKite in a manner that risks the integrity, availability, or security of the service or of other HexaRadius customers.
Fees, payment, and taxes
Licence fees are payable in full at the time of purchase. Add-on subscriptions are billed in advance for the applicable period. All fees are exclusive of GST, which is applied and invoiced at the applicable statutory rate.
Invoices are issued under HexaRadius’ GSTIN (33AAICH3362F1ZT) and include the Customer’s GSTIN where provided. Payment is due within fifteen days of invoice date, unless otherwise agreed in writing. Late payments may result in suspension of add-on services, with prior notice.
Support and software updates
The licence fee includes twelve months of software updates and standard support from the date of purchase. Standard support is provided by email and WhatsApp during business hours (Monday to Saturday, 09:00–18:00 IST), with a target response time of one business day.
After the initial twelve-month period, ongoing updates and priority support are available through the Extended Updates and Support add-on. A Customer who chooses not to renew the support add-on may continue to operate the existing version of CliniKite but will not receive new releases or security patches.
Warranties and disclaimers
HexaRadius warrants that CliniKite will materially conform to its documentation at the time of delivery and during the support period. To the maximum extent permitted by applicable law, all other warranties, whether express or implied, are disclaimed.
CliniKite is not a medical device and does not provide medical advice. Any AI-assisted suggestions offered by the product are decision support only; all clinical judgment and patient care remain the exclusive responsibility of the treating clinician.
Limitation of liability
To the maximum extent permitted by applicable law, the aggregate liability of HexaRadius under or in connection with these Terms is limited to the total fees paid by the Customer to HexaRadius in the twelve months preceding the event giving rise to the claim.
HexaRadius is not liable for indirect, special, consequential, or punitive damages, including loss of profit, loss of data, or loss of goodwill, even if advised of the possibility of such damages.
Indemnification
The Customer will indemnify HexaRadius against any third-party claim arising out of the Customer’s use of CliniKite in breach of these Terms, including claims arising from the Customer’s collection, handling, or disclosure of patient data or any failure to obtain necessary patient consents.
Term and termination
The licence granted in section 2 is perpetual, subject to the Customer’s continued compliance with these Terms. Add-on subscriptions continue until cancelled by the Customer at the end of a billing period.
HexaRadius may terminate the licence or any add-on subscription by written notice if the Customer materially breaches these Terms and fails to remedy the breach within thirty days of written notice. On termination, the Customer retains full access to Customer Data and is entitled to a documented export.
Governing law and jurisdiction
These Terms are governed by the laws of India. The courts of Chennai, Tamil Nadu, India have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that HexaRadius may seek injunctive or equitable relief in any competent court.
Changes to these Terms
HexaRadius may update these Terms from time to time. Material changes will be notified to Customers by email and reflected on this page with an updated effective date. Continued use of CliniKite after the effective date constitutes acceptance of the updated Terms.
